In order to boost international exchanges and cooperation in the automobile industry, and to strengthen the independent innovation ability and international competitiveness of both automobile and auto parts enterprises, the Ministry of Commerce (MOFCOM) of People’s Republic of China has decided to hold China International Auto Parts Expo (CIAPE) at China International Exhibition Center in Beijing from November 29 to December 1, 2007.
Approved by the Chinese government, CIAPE is a state level internationally professional exhibition of auto parts. In order to implement the directives of the State Council for organizing exhibitions in professional ways, MOFCOM has decide to reform the mode of organizing this exposition based on the principle of specialization, marketization and internationalization. China General Technology (Group) Holding Limited is the organizer of the First China International Auto Parts Expo, while the major domestic and foreign auto industry associations and automobile enterprise groups are co-organizers and supporters of this grand event. The Expo has attracted extensive attention from global auto industries as well as the media. Up to now, 47 Chinese and foreign automotive industry associations, enterprises and news media such as, the German Association of Materials Management, Purchasing and Logistics (BME), the Automotive Industry Action Group (AIAG), French Vehicle Equipment Industries (FIEV), China Association of Automobile Manufacturers (CAAM), Bosch, Denso, General Motors, Toyota, Volkswagen, Shanghai Automotive Industry Corporation (Group), China FAW Group Corporation, Chery and China Automotive News have all confirmed to be the co-organizers or supporters of the expo, and will be widely involved in its various activities.
Oriented toward global auto parts and after-sales markets, CIAPE is designed to build an integrated platform for exhibition, trade, technological exchanges, cooperation, intelligence import as well as the protection of intellectual property rights (IPR). The exhibits will mainly be auto parts and components (excluding those for motorcycles) and a few whole cars with China’s own independent IPR as supplements. The aim is to, through joint efforts, make the Expo become an internationally well-known, authoritative and professional exhibition of auto parts well received by both domestic and global auto industries as well as the media.
During the Expo, a series of summit forums and seminars will be held together with lots of other activities such as, the China Auto Parts Online Procurement Fair for Purchasers from North America and the Fourth Award Ceremony for China Baijia Auto Parts Suppliers. In addition, the Expo will set up an Office for IPR Protection in order to strengthen the awareness of IPR protection and to safeguard the legitimate rights and interests of participating enterprises.
The Expo will publish the Catalog of Chinese Auto Parts Enterprises, and only those enterprises listed in the catalog are eligible for participating in the exhibition. The Expo has already formulated certain credentials and requirements for participating enterprises in order to guarantee the quality and level of domestic exhibitors, and to prevent the infringement of IPR from occurring and ensure the effectiveness of the exposition.
Holding China International Auto Parts Expo is an important move in upgrading China’s auto industry and in boosting the full participation of its auto parts industry in international competition and cooperation. 1. How did China International Auto Parts Expo come into being?
Different from other industries, the automobile industry is one of the pillar industries in the national economy of a country, and an important indication of the level of its industrialization. Given the fact that the automobile industry gives strong push to the national economy, and is broadly related to other industries, and makes higher contribution to social employment and welfare, developed countries around the world have defined it as a strategic industry and have offered major supports to its development. After five decades of growth, China has become the third largest vehicle manufacturer, the second largest consumer and the largest potential market of automobiles in the world. The added industrial value of China’s automobile industry reported a 34.5% year on year increase to 379.1 billion yuan in 2006, and accounted for 4.2% of the total national added industrial value. The output of automobiles amounted to 7.28 million units, with an increase of 27.3% over the same period in 2005.
As one of the industries with the highest level of globalization in the world, the automobile industry is huge in market size and multiple in demand layers. In 2005, the global trade volume of auto products exceeded US$950 billion, accounting for 10% of the total global commodity trade, and was the largest major commodity category in world trade. Over the past years, China has also witnessed a rapid growth in its automobile and auto parts trade. The export volume of these two commodities amounted to US$15.84 billion in 2006, increase by 45% compared with the same period of the year 2005. However, compared with the other global auto giants, the aggregate amount of China’s auto products trade remained small. In 2005, the export volume of China’s automobiles and auto parts accounted for 7.3% in the total output of its auto industries, and accounted for only 1.1% of the world’s total auto trade volume. This has marked a big gap between China and other major automobile manufacturers such as Japan, Germany and Korea, whose 40% of automobile outputs are for export. And this also marked the huge potential for further development of China’s automobile industry. In addition, given that China has already established its international automobile shows, many professionals from Chinese and foreign automobile industries have expressed their wish to the Government for building a professional and authoritative platform of auto parts in order to better boost the exchanges and cooperation between domestic and overseas enterprises.
Up to now, China has seen a rapid development in its automobile industry and has boasted a multitude of auto parts enterprises with increased strength. However, it has also fallen behind in building a platform for exhibition, exchanges, cooperation and trade for auto parts enterprises both at home and abroad. The problems of low internationalization, marketization and specialization generally exist in current auto parts exhibitions, and the awareness of Intellectual Property Rights (IPR) protection is comparatively weak in some of them. Therefore, it is important for China to build a State-level, international platform for exhibition and trade in order to display the overall strength of its auto parts industry as well as to strengthen international exchanges and cooperation between its domestic and foreign auto parts enterprises. This platform will also play an active and collaborative role in enhancing the awareness of IPR protection and boosting the balance in international trade.
2. What are the typical characteristics of China International Auto Parts Expo?
(1) Approved by the Chinese government, China International Auto Parts Expo is the only international and professional auto parts exhibition by the State;

7. Please elaborate on the credentials and requirements for enterprises to be listed in the Catalog of Chinese Auto Parts Enterprises.
In order to provide convenience for the understanding and communication between Chinese and foreign auto parts enterprises, the First China International Auto Parts Expo will publish the Catalog of Chinese Auto Parts Enterprises, and only enterprises listed in the catalog are eligible for participating in the event. In order to guarantee the quality and level of domestic participating enterprises, and to prevent the infringement of IPR from occurring and ensure the effectiveness of the exposition, enterprises listed in the Catalog must meet with the following requirements:
(1) Corporation with legal person qualification;
(2) Domestic sales volume of RMB10 million or above in 2006; or an export volume of US$1 million or above;
(3) No record of the breach of laws such as, infringement of IPR and fraud in business and trade.

Party B:
Genertec International Advertising & Exhibition Co., Ltd. (hereinafter referred to as Party A) and………………………………………………………………………………………
(hereinafter referred to as Party B), after friendly negotiations, reached a cooperation agreement that Party B is authorized to act as the agency of Party A, shall recruit and organize related enterprises in Party B’s country or Region to participate in the China International Auto Parts Expo (CIAPE) to be held by Party A at China International Exhibition Center in Beijing, China from November 29th to December 1st, 2007.
I. Form of Operation and Participation to CIAPE
1. In the form of providing installed standard booths, floor space, relevant facilities that Party A shall be responsible to realize the necessary availability to each of the exhibitor to process their business exhibition or demonstration during the specified period of CIAPE.
2. All the exhibitors shall act in accordance with the prescribe conditions and by the manner of rental of the standard booth(s) or floor space to attend CIAPE. .
3. Besides the incentive policy to be offered by Party A to Party B which is going to be stipulated in the Clause IV, that any participant, exhibitor, visitor shall duly pay for their own expenses of booth(s), travel expenses, accommodations and incidental expenses by their own account.
II. Requirement to the Recruitment of Overseas Participants
Party B, at the request of Party A, shall recruit and organize the enterprises or business firms in Party B’s country or region, or in the other county or countries that are directly engaged in auto and auto parts industry, auto services (including auto decoration, maintenance, and fittings), auto trade, auto logistics, auto electronic, auto finance, and other related business sectors of automotive industry to participate in the event.
III. Prices of booth and floor space of A.B. area
(A.B. areas are distributed at hall 1—8 of the exhibition center )
1. Area A
● Standard booth: ¥19,620.00RMB/booth (about 2,520.00 USD / booth).
● Floor space: ¥1,880.00RMB/sq.m (about 241.00 USD / sq.m , min.36 sq.m).
2. Area B
● Standard booth: ¥13,320.00RMB/booth (about 1,710.00 USD / booth).
● Floor space: ¥1,180.00RMB/sq.m (about 152.00 USD / sq.m , min.36 sq.m).
IV. Incentive Policy to Party B
In order to facilitate the Party B to be effectively recruiting enterprises to participate in the event, Party A shall offer Party B the relevant incentive policies as follows:
1. Provided Party B can realize a recruitment of 1—4 standard booths and/or 36 square meters of floor space that Party A shall reward Party B with 30% of the total amount of the rented booth(s) and/or floor space.
2. Provided Party B can realize a recruitment of 5—9 standard booths and/or 45—81 square meters of floor space that Party A shall reward Party B with 40% of the total amount of the rented standard booth(s) and/or floor space.
3. Provided Party B can realize a recruitment of 10—19 standard booths and/or 90—171 square meters of floor space that Party A shall reward Party B with 45% of the total amount of the rented booths and/or space.
Upon the recruitment of Party B reaches 15 standard booths and/or 135 square meters of floor space that Party A shall reward Party B for a designated coordinator to enjoy a subsidy of air ticket(s) up to $1400.00 USD, and free lodging in a Five or at least in a Four-star luxury hotel for max. 5 nights, and enjoy the same free local transportation as the exhibitors or visitors.
4. Provided Party B can realize the recruitment of more than 20 standard booths and/or more than 180 square meters of floor space that Party A shall reward party B with 50% of the total amount of the rented standard booth and/or floor space. Also, Party A shall reward Party B for a designated coordinator to enjoy a subsidy of air ticket(s) up to $1400.00 USD, and free lodging in a Five or at least in a Four-star luxury hotel for max. 5 nights, and enjoy the same free local transportation as the exhibitors or visitors.
V. Liabilities and Obligations of Party A
1. As the authoritative National Level platform, Party A shall promote and recruit accordingly to the relevant counter partners in China upon the designated request of any exhibitor recruited by to meet Party B.
2. Party A, at the request of Party B, shall offer relevant services or follow-up work to these exhibitors for the necessary promotions of cooperation intentions obtained from CIAPE.
3. Party A shall be responsible to offer all the necessary assistance and service to the needs of exhibitor(s) or participant(s), such as hotel reservation, site of transportation, rental of interpreter, to facilitate them to conveniently fulfill their participation to CIAPE.
VI. Liabilities and Obligations of Party B
1. Except the incentive policies granted by Party A to Party B, Party B shall on its own account for all other relevant expenses accrued therefore to the promotion and recruitment work or activities to CIAPE.
2. After signing of this agreement, Party B shall actively carry-out the necessary promotion and advertising works for recruiting relevant participants to attend CIAPE at its own expenses.
3. The expenses items payable by Party A to Party B specifically stipulated in this agreement shall be paid by Party A to Party B at site on the first day of CIAPE according to percentage of the rented amount of recruited standard booth and/or floor space.
4. Party B shall promptly notify Party A of its promotion and recruitment progress, the background of potential participants so as to facilitate Party A to carry out necessary promotion to Chinese counterparts.
5. Party B shall try its effort to provide Party A, the first group of the intended exhibitors before the end of May 2007 for free entry in the Visitor Guide, and finalize the registration for all the exhibitors before September 15, 2007. The deadline for registration in the show Directory will be fixed on September 30, 2007.
6. Party B shall, upon the request of Party A, to invite Party A to visit Party B, and to organize local related enterprises for a promotion seminar. All the expenses shall be for the account of party A.
VII. Any term(s) and condition(s) which are not mentioned in this agreement and any dispute that may occur upon to the execution of this agreement shall to be settled through a friendly negotiation between Party A and Party B. If the two parties fail to reach an agreement, each of the two parties may turn the matter to the relative arbitral authorities in Beijing, China for arbitration, and the award is final.
VIII. The original of this agreement is in duplicate with equal validity and respectively held by the two parties. This agreement shall come into force after it is to be signed and stamped by both parties.
